The Company may implement security controls, account verification requirements, access restrictions, and protective measures at its discretion, consistent with Applicable Law.
5. GPS, LOCATION SERVICES, AND AUTOMATIC MILEAGE TRACKING
5.1 Location Accuracy Disclaimer
MileLedger may use GPS, cellular networks, Wi-Fi positioning, device sensors, operating system services, motion detection, and other signals to identify, estimate, or record vehicle movements.
You acknowledge that location technology is inherently imperfect.
MileLedger does not guarantee that:
- Every trip will be detected;
- Every recorded trip will be complete;
- Every recorded trip will start or stop at the correct location;
- Recorded mileage will match your vehicle's odometer;
- Location information will always be accurate;
- Routes will be identified without interruption;
- Background tracking will function continuously;
- Tracking will remain active after device restarts;
- Every trip will be classified correctly; or
- Trip information will be immediately available or synchronized.
Automatic trip detection may be affected by tunnels, parking garages, weak satellite signals, device movement, cellular coverage, operating system restrictions, power management, hardware limitations, or other conditions.
5.2 Temporary Stops and Trip Segmentation
Traffic signals, congestion, fuel stops, rest stops, parking, and other interruptions may affect automated trip detection.
As a result, a continuous journey may be recorded as multiple trips, or separate journeys may be recorded as one trip.
MileLedger does not guarantee that trip segmentation, stop detection, automatic pause, or automatic resume functionality will be accurate or uninterrupted.
5.3 Background Tracking
Background mileage tracking may require you to enable location permissions, motion and fitness access, background application refresh, or similar device features.
Operating systems may suspend, restrict, or terminate background activities without notice to MileLedger.
The Company does not control the availability, reliability, or operation of these underlying device services.
5.4 User Verification Requirement
YOU ARE SOLELY RESPONSIBLE FOR REVIEWING AND VERIFYING ALL RECORDED TRIPS, DISTANCES, DATES, LOCATIONS, CATEGORIES, AND BUSINESS PURPOSES BEFORE RELYING ON THEM.
You must independently confirm that records are complete and accurate for tax filings, reimbursements, accounting, audits, or other consequential uses.
You should reconcile recorded distances against vehicle odometer readings and other available supporting evidence when appropriate.
5.5 No Liability for Missing or Incorrect Trips
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYTRIX TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR LOST, OMITTED, DUPLICATED, MISCLASSIFIED, INTERRUPTED, OR INCORRECTLY CALCULATED TRIPS, INCLUDING ANY RESULTING TAX CONSEQUENCES, DENIED REIMBURSEMENTS, LOST DEDUCTIONS, FINANCIAL LOSSES, OR OTHER CONSEQUENTIAL DAMAGES.
6. RECEIPT SCANNING, OCR, AND AUTOMATED DATA EXTRACTION
6.1 Automated Processing
MileLedger may use optical character recognition (“OCR”), machine learning, artificial intelligence, image processing, and other technologies to extract information from receipts and documents.
Extracted information may include:
- Merchant or vendor name;
- Transaction date;
- Individual purchased items;
- Quantities and unit prices;
- Subtotals;
- Discounts;
- Sales taxes;
- Tips;
- Fees;
- Transaction totals; and
- Other expense-related information.
6.2 Accuracy Limitations
OCR and automated information extraction can produce incomplete or inaccurate results.
Examples include incorrect decimal placement, omitted line items, duplicated transactions, incorrect merchant names, misread taxes, and incorrect totals.
Accuracy may be affected by receipt quality, lighting, image resolution, handwriting, fading, formatting, language, currency, or document complexity.
MileLedger does not warrant that any automatically extracted information will be accurate, complete, properly categorized, or suitable for a particular purpose.
6.3 User Review and Responsibility
YOU MUST REVIEW AND CONFIRM EXTRACTED INFORMATION BEFORE USING IT FOR ACCOUNTING, TAX REPORTING, REIMBURSEMENT, OR FINANCIAL DECISIONS.
MileLedger is not responsible for discrepancies between an original receipt and the information extracted from it, subject to non-waivable legal obligations.
The original receipt or independently verified documentation should remain the authoritative source for transaction details.
6.4 Original Receipt Preservation
Users are strongly encouraged to retain original receipts and supporting documents for the period required by applicable tax authorities, employers, insurers, or other relevant organizations.
A scanned image or electronically extracted record may not independently satisfy every legal recordkeeping requirement.
6.5 No Financial Guarantee
To the maximum extent permitted by law, the Company disclaims liability for financial consequences resulting from inaccurate extraction, incorrect calculations, incorrect expense categorization, omitted records, or reliance on unverified OCR results.
7. TAX, ACCOUNTING, AND FINANCIAL INFORMATION DISCLAIMER

Using MileLedger does not establish eligibility for a tax deduction, reimbursement, credit, or other financial benefit.
The Company does not guarantee that:
- Mileage records will satisfy IRS requirements;
- Expenses will qualify as deductible;
- Records will be accepted by an employer;
- Reports will meet audit standards;
- A tax authority will accept any classification;
- Automated calculations will produce a particular financial result; or
- Information exported from the Services will satisfy regulatory requirements.
7.4 User's Independent Obligations
You are solely responsible for:

- Determining applicable mileage rates and deduction methods.
- Complying with federal, state, local, and international tax laws.

TO THE MAXIMUM EXTENT PERMITTED BY LAW, CYTRIX TECHNOLOGIES LLC SHALL NOT BE LIABLE FOR TAX PENALTIES, INTEREST, AUDIT ADJUSTMENTS, DISALLOWED DEDUCTIONS, INCORRECT REIMBURSEMENTS, PROFESSIONAL FEES, OR OTHER LOSSES RESULTING FROM RELIANCE ON THE SERVICES.
Nothing in this section excuses unlawful or otherwise non-excludable conduct by the Company.
8. DRIVER SAFETY AND LAWFUL VEHICLE OPERATION
MileLedger is not a navigation system, driver assistance system, emergency communication service, or vehicle safety system.
You must not operate, configure, review, or interact with the Application while driving in a manner that distracts you or violates traffic laws.
Users must comply with all applicable hands-free and distracted-driving restrictions.
The Services are not intended to replace attention to road conditions, vehicle controls, traffic signals, or driver judgment.
MileLedger does not encourage or require users to interact with the Application while operating a moving vehicle.
To the maximum extent permitted by Applicable Law, Cytrix Technologies LLC shall not be responsible for accidents, injuries, property damage, traffic violations, or other losses arising from unsafe or unlawful use of the Application.
This provision does not limit liability for conduct that cannot legally be excluded.
9. DATA ACCURACY AND USER RESPONSIBILITY
You acknowledge that you are responsible for the accuracy, completeness, legality, and appropriateness of User Content.
MileLedger may provide automated calculations, reports, categorizations, and summaries based on user-supplied information or automated detection.
These outputs may contain errors.
You agree to review information before using it for professional, financial, business, legal, insurance, or government purposes.
You are responsible for correcting inaccurate records and maintaining independent documentation where appropriate.
The availability of editing or correction tools does not create a guarantee that every error will be detected or corrected.
10. DATA STORAGE, SYNCHRONIZATION, AND BACKUPS
10.1 Storage Methods
Depending on the features and configurations available, data may be stored locally on your device, in cloud infrastructure, or through a combination of storage methods.
Not all data may be automatically backed up or synchronized.
10.2 No Guarantee Against Data Loss
Although the Company may implement commercially reasonable technical and organizational safeguards, no storage system is entirely immune to failures, accidental deletion, corruption, interruptions, cyberattacks, or other incidents.
MileLedger does not guarantee that User Content will always be preserved, recoverable, or available.
10.3 User Backup Obligations
You are responsible for maintaining independent copies of important mileage logs, receipts, invoices, expense records, reports, and other documentation.
You should regularly export or otherwise preserve records needed for accounting, audits, taxes, or business operations, to the extent such functionality is available.
MILELEDGER MUST NOT BE RELIED UPON AS THE SOLE STORAGE LOCATION FOR IRREPLACEABLE BUSINESS, FINANCIAL, OR TAX RECORDS.
10.4 Synchronization Limitations
Data synchronization may be delayed, interrupted, or unsuccessful due to connectivity issues, device limitations, account configuration, service disruptions, or other technical conditions.
To the maximum extent permitted by law, the Company disclaims liability for losses resulting from synchronization failures, including missing, duplicated, conflicting, or outdated records.
10.5 Deletion and Retention
User Content may be deleted or become unavailable following account deletion, subscription termination, storage changes, prolonged inactivity, or other circumstances described in the Privacy Policy and applicable retention notices.
Deletion from active systems may not immediately remove information from lawful security backups or records required to be retained by law.
Any deletion or retention practices will remain subject to applicable privacy, consumer protection, and data protection requirements.
11. PRIVACY AND PERSONAL INFORMATION
Use of the Services may involve the processing of personal information, including location information, receipts, financial transaction details, device identifiers, and account information.
The collection, use, storage, disclosure, retention, and protection of personal information are described in the MileLedger Privacy Policy.
The Privacy Policy should be made available separately from these Terms.
In the event of a conflict regarding rights that cannot be waived under applicable privacy law, the applicable law controls.
Nothing in these Terms constitutes a blanket waiver of privacy rights, data protection rights, or legally required remedies.
12. THIRD-PARTY TECHNOLOGY AND SERVICES
MileLedger may depend on third-party providers for services such as device location, motion detection, application distribution, payment processing, cloud hosting, authentication, OCR, artificial intelligence, analytics, and operating system services.
Third-Party Services may be subject to separate contractual terms and privacy practices.
MileLedger does not control all aspects of Third-Party Services and cannot guarantee their uninterrupted availability or performance.
To the maximum extent permitted by law, the Company disclaims responsibility for outages, errors, restrictions, pricing changes, or failures attributable solely to independent third-party systems.
Nothing herein excludes responsibility that Applicable Law places on Cytrix Technologies LLC for its own actions, service providers, or statutory obligations.
13. SUBSCRIPTIONS, BILLING, AND AUTOMATIC RENEWAL
13.1 Free and Paid Services
MileLedger may offer free features, trial access, premium subscriptions, or other paid functionality.
The features included in each plan may vary and will be described in the relevant purchase interface.
13.2 Subscription Pricing
The applicable subscription price, billing period, currency, included features, and any promotional terms will be presented before purchase.
Prices are not fixed by this Agreement and may vary by country, platform, plan, or promotion.
13.3 Automatic Renewal
IF YOU PURCHASE AN AUTOMATICALLY RENEWING SUBSCRIPTION, YOUR SUBSCRIPTION WILL CONTINUE TO RENEW FOR SUCCESSIVE BILLING PERIODS UNLESS YOU CANCEL IT IN ACCORDANCE WITH THE APPLICABLE PURCHASE PLATFORM'S PROCEDURES AND ANY APPLICABLE CANCELLATION REQUIREMENTS.
The renewal amount, frequency, trial conversion terms, and other material billing conditions will be disclosed in the purchase flow.
13.4 Apple App Store Purchases
If you purchase a subscription through Apple's App Store, payment processing, subscription management, and applicable refunds are generally administered through Apple.
For subscriptions managed by Apple, you can access subscription settings through:
iPhone or iPad Settings → Your Name → Subscriptions → MileLedger.
Deleting MileLedger or its associated account does not necessarily cancel an Apple-managed subscription.
13.5 Free Trials and Promotional Offers
When a free trial or promotional subscription is offered, the applicable terms, duration, renewal price, and conversion conditions will be disclosed before enrollment.
Unless canceled in accordance with the disclosed terms, an eligible trial may convert into a paid subscription.
Trials and promotional offers may be limited by eligibility rules disclosed at the time of the offer.
13.6 Cancellation
You may cancel a subscription using the cancellation method made available by the platform or billing provider through which the subscription was purchased.
For Apple-managed subscriptions, cancellation must ordinarily be completed through Apple's subscription management system.
Cancellation generally prevents future renewals, subject to applicable billing terms.
Access to paid features may continue until the end of the paid billing period or another period required by law or platform policy.
13.7 Refunds
Refund eligibility is determined by applicable consumer protection laws, the terms disclosed at purchase, and the policies of the relevant payment platform.
For App Store purchases, users may request eligible refunds through Apple's refund procedures.
No provision restricts a user's right to obtain a refund, chargeback, or other remedy when required by law.
13.8 Price Changes
MileLedger may change subscription pricing in the future.
Changes affecting an existing subscription will comply with applicable laws and platform rules, including legally required advance notice or consent.
13.9 Failed Payments
Failure to complete payment may result in loss of access to paid features, expiration of premium benefits, or subscription cancellation, subject to applicable billing policies.
13.10 No Guarantee of Financial Return
Purchasing a subscription does not guarantee tax savings, improved income, reimbursement approval, business profitability, or financial benefit.
14. APPLICATION LICENSE
Subject to these Terms, Cytrix Technologies LLC grants you a limited, personal, non-exclusive, non-transferable, non-sublicensable, revocable license to download, install, and use MileLedger on devices you own or control, subject to platform usage rules.

You retain ownership of your User Content, subject to permissions necessary to operate the Services.
16. USER CONTENT AND LIMITED PROCESSING LICENSE
You retain any ownership rights you hold in User Content.
By submitting User Content, you grant Cytrix Technologies LLC a non-exclusive, worldwide, royalty-free license, limited to what is reasonably necessary to host, store, reproduce, transmit, process, format, analyze, display, back up, and otherwise use User Content to provide, secure, maintain, support, and improve the Services, subject to the Privacy Policy, your settings, and Applicable Law.
This license does not authorize unrestricted sale of private financial records, receipts, or precise location information.
You represent that you have the necessary rights and permissions to submit and process the information.
17. ACCEPTABLE USE AND PROHIBITED CONDUCT
You agree not to use the Services to fabricate mileage records, falsify receipts, submit fraudulent claims, evade taxes, unlawfully monitor another person's location, interfere with systems, circumvent security, or engage in illegal activity.
The Company may investigate misuse, restrict access, preserve relevant evidence, and cooperate with lawful requests, subject to applicable legal obligations.
18. SERVICE AVAILABILITY, MAINTENANCE, AND MODIFICATIONS
Cytrix Technologies LLC may perform maintenance, deploy updates, implement security improvements, correct defects, and modify features.
The Services may become unavailable because of maintenance, infrastructure failures, internet interruptions, third-party outages, security incidents, or other technical conditions.
The Company does not guarantee uninterrupted, error-free, or universally compatible access.

TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, CYTRIX TECHNOLOGIES LLC AND ITS OWNERS, OFFICERS, DIRECTORS, EMPLOYEES, CONTRACTORS, AGENTS, AFFILIATES, LICENSORS, AND SERVICE PROVIDERS SHALL NOT BE LIABLE FOR INDIRECT, INCIDENTAL, SPECIAL, CONSEQUENTIAL, EXEMPLARY, OR PUNITIVE DAMAGES ARISING FROM OR RELATED TO THE SERVICES.

THE EXCLUSION APPLIES REGARDLESS OF WHETHER DAMAGES WERE FORESEEABLE OR OF THE LEGAL THEORY ASSERTED, TO THE EXTENT PERMITTED BY LAW.
20.2 Aggregate Liability Cap
TO THE MAXIMUM EXTENT PERMITTED BY APPLICABLE LAW, THE TOTAL AGGREGATE LIABILITY OF CYTRIX TECHNOLOGIES LLC FOR ALL CLAIMS ARISING OUT OF OR RELATING TO MILELEDGER OR THESE TERMS SHALL NOT EXCEED THE GREATER OF: (A) THE TOTAL AMOUNT ACTUALLY PAID BY YOU FOR MILELEDGER SERVICES DURING THE TWELVE (12) MONTHS IMMEDIATELY PRECEDING THE EVENT GIVING RISE TO THE CLAIM; OR (B) ONE HUNDRED U.S. DOLLARS (US $100).
This limit applies collectively to related claims rather than separately to every asserted cause of action.
20.3 Exceptions Required by Law
Nothing excludes or limits liability for fraud, willful misconduct, gross negligence, personal injury, statutory violations, breach of non-waivable legal duties, or other liability where prohibited by law.
If a particular limitation cannot be enforced, remaining lawful limitations continue to apply.
20.4 Basis of Agreement
The Services are offered and priced in reliance on the allocation of risk reflected in these Terms.
21. USER INDEMNIFICATION
To the maximum extent permitted by law, you agree to defend, indemnify, and hold harmless Cytrix Technologies LLC and its officers, directors, employees, contractors, agents, affiliates, licensors, and successors from third-party claims, liabilities, judgments, penalties, costs, and reasonable legal fees arising from:
- Unlawful or unauthorized use;
- Fraudulent information;
- Intellectual property or privacy rights violations;
- Violations of Applicable Law;

These obligations apply only to the extent fairly attributable to your conduct and legally permissible.
You are not required to indemnify the Company for its own unlawful conduct or circumstances where indemnification is prohibited.
The Company will provide reasonable notice and appropriate opportunities to participate in the defense of covered claims.
22. THIRD-PARTY CLAIMS AND EXTERNAL RELIANCE
MileLedger does not represent that its records, calculations, reports, or exports have been certified by tax authorities, employers, insurers, accountants, or government organizations.
Third parties may apply their own documentation standards.
The Company does not guarantee acceptance of MileLedger-generated records.
You are responsible for independently verifying records before submitting them.
23. SECURITY INCIDENTS AND UNAUTHORIZED ACCESS
The Company may employ reasonable safeguards intended to protect information processed through the Services.
However, no electronic platform guarantees absolute security.
Risks include malware, phishing, compromised devices, credential theft, unauthorized access, and infrastructure vulnerabilities.
Cytrix Technologies LLC will comply with legally applicable security and breach notification duties.
To the extent permitted by law, the Company disclaims liability for unauthorized activity caused solely by circumstances outside its reasonable control or by a user's failure to maintain reasonable account security.
24. ACCOUNT SUSPENSION AND TERMINATION
The Company may suspend or terminate access upon a reasonable basis to believe that an account has been used for fraud, unlawful conduct, material violations, security threats, unauthorized access, unresolved payment obligations, or conduct requiring intervention under law.
Where required, the Company will provide notice and applicable remedies.
Users may stop using the Services and request account deletion.
Account deletion does not automatically cancel subscriptions managed by Apple.
Provisions concerning intellectual property, accrued obligations, indemnification, liability, and dispute resolution survive termination where enforceable.
25. DISPUTE RESOLUTION AND INFORMAL RESOLUTION
25.1 Initial Dispute Notice
Before initiating formal proceedings, the parties agree to make a good-faith effort to resolve disputes informally.
A written dispute notice should include the sender's name, contact information, description of the dispute, supporting details, and requested resolution.
Dispute notices must be sent to:
Cytrix Technologies LLC
Email: support@mileledger.io
Subject: MileLedger Legal Dispute Notice
The receiving party will have thirty (30) days after receipt of a sufficiently detailed notice to attempt resolution, unless Applicable Law requires otherwise.
The process does not prevent urgent injunctive relief or compliance with non-extendable deadlines.
25.2 Good-Faith Participation
Both parties agree to participate reasonably and in good faith without surrendering non-waivable rights.
26. BINDING INDIVIDUAL ARBITRATION
26.1 Agreement to Arbitrate
Except as otherwise provided, you and Cytrix Technologies LLC agree to resolve disputes relating to these Terms or the Services through binding individual arbitration, to the extent permitted by law.
The Federal Arbitration Act governs where applicable.
26.2 Arbitration Administrator
Arbitration will be administered by the American Arbitration Association (“AAA”) under its applicable Consumer Arbitration Rules, or Commercial Arbitration Rules where appropriately classified.
If the administrator is unavailable, the parties will seek an alternative and, where authorized, a court may appoint an arbitrator.
26.3 Arbitration Procedure
Arbitration may occur remotely, by written submissions, or in person under applicable rules.
The arbitrator may award individual remedies authorized by law.
Fees will be allocated according to applicable rules and controlling consumer protection law.
26.4 Exceptions
Eligible individual claims may be brought in small claims court.
Claims that cannot lawfully be arbitrated remain excluded.
Either party may seek temporary judicial relief when appropriate.
26.5 Arbitration Opt-Out
You may opt out of arbitration by sending written notice to support@mileledger.io within thirty (30) days after first accepting these Terms.
Use the subject line “MileLedger Arbitration Opt-Out.”
Identify your account and clearly state your intent to opt out.
Validly opting out does not affect your right to use the Services.
26.6 Delegation and Judicial Review
Except for disputes concerning the enforceability of the class action waiver, interpretation, scope, and enforceability will be determined according to applicable arbitration law and administrator rules.
Mandatory rights to judicial resolution remain unaffected.
27. CLASS ACTION AND REPRESENTATIVE ACTION WAIVER
An arbitrator shall not adjudicate class-wide claims unless expressly agreed or required by law.
Non-waivable rights, including applicable public injunctive relief rights, remain preserved.
If a particular waiver is unenforceable, affected claims will proceed in the legally required forum.
28. JURY TRIAL WAIVER
29. GOVERNING LAW AND JURISDICTION
These Terms are governed by the laws of the State of [Governing State to Be Confirmed], United States, without regard to conflict-of-law principles, except where federal law or mandatory consumer protection laws require otherwise.
Disputes not subject to arbitration may be brought in courts of competent jurisdiction in [County and State to Be Confirmed], subject to mandatory venue and consumer protections.
The governing state and jurisdiction must be established based on the Company's actual legal circumstances before publication.
30. TIME LIMITATIONS ON CLAIMS
To the extent legally permitted, claims must commence within the shorter of the applicable statutory limitation period or two years after accrual.
This provision does not shorten periods where prohibited by law.
Applicable tolling, discovery, and statutory rights remain preserved.
31. FORCE MAJEURE
Cytrix Technologies LLC is not responsible, to the extent permitted by law, for delays or failures caused by events beyond reasonable control, including natural disasters, severe weather, widespread communications outages, government actions, civil disturbances, war, labor disruptions, major infrastructure failures, and certain cyberattacks.
This does not excuse non-waivable legal duties.

To the maximum extent permitted by law, Apple has no other warranty obligations.
Other legally applicable warranty claims remain the responsibility of Cytrix Technologies LLC.
32.5 Product Claims
Cytrix Technologies LLC, not Apple, is responsible for handling claims concerning the Application, including product liability, legal compliance, and applicable consumer protection or privacy claims.

The Company does not warrant that every feature or calculation is appropriate for every jurisdiction.
Mandatory consumer, privacy, warranty, and digital services rights remain preserved.
34. CHANGES TO THESE TERMS
Cytrix Technologies LLC may update these Terms for legitimate operational, legal, security, or product reasons.
Where required, users will receive advance notice of material changes and an opportunity to consent when legally necessary.
Updated terms will state their effective date.
Material changes generally apply prospectively unless law provides otherwise.
35. ELECTRONIC COMMUNICATIONS AND NOTICES

If a provision is held unenforceable, it shall be limited or severed to the extent legally necessary.
Remaining lawful provisions continue in effect.
Special arbitration severability rules control where applicable.

Waivers must be authorized and provided in writing.
39. ENTIRE AGREEMENT
These Terms, together with accepted subscription disclosures and applicable platform conditions, constitute the agreement governing MileLedger.
The Privacy Policy separately describes personal information practices.
Nothing overrides legally protected representations or mandatory statutory rights.
